1. Overview & Scope

This Subscription Fees, Cancellation, and Refund Policy (“Policy”) governs all financial terms, subscription tiers, cancellation protocols, and refund conditions for the O&M360 software-as-a-service (SaaS) platform, managed and operated by AMS Environmental Management Corp. (“Company”).

1.1 Enterprise Priority (B2B MSA): If your organization accesses O&M360 pursuant to an executed enterprise Master Subscription Agreement (MSA), the specific commercial terms, payment schedules, and fee structures defined in that MSA shall take precedence over these general terms.

1.2 Standard Account Applicability: For all standard, self-service, or tiered digital subscriptions, this Policy forms a legally binding agreement between the Client and the Company upon account creation or subscription renewal.

2. Subscription Fees & Payment Terms

2.1 Advance Payment Required: Access to O&M360 is granted on a prepaid subscription basis (monthly or annually). All applicable fees for platform access, API access, and user seat licenses must be paid in full prior to the activation or renewal of the subscription period.

2.2 Tax Allocation: Unless explicitly stated otherwise in writing, all posted subscription rates are exclusive of applicable local taxes, including Philippine Value-Added Tax (VAT) and localized business taxes. The Client remains responsible for withholding taxes (EWT) where required under Bureau of Internal Revenue (BIR) rules.

2.3 Payment Renewal Terms: Subscriptions do not automatically renew by default. Payment for subsequent billing cycles may be processed automatically or manually, depending on the payment method selected by the Client. The Client is responsible for ensuring that payments are completed within the applicable billing period to maintain uninterrupted access to the Services.

3. Default 100% No-Refund Policy

3.1 Default Standard (100% Non-Refundable): All subscription fees, platform license fees, setup costs, and additional user seat charges paid for O&M360 are 100% non-refundable by default. Paying 100% of the subscription fee entitles the Client strictly to platform access for the designated paid billing cycle, and does not create an automatic right to request money back or fee reversals.

3.2 Prohibition of Pro-Rated Adjustments: The Company does not issue pro-rated refunds, partial reimbursements, or fee adjustments for:

  • Early voluntary termination or account cancellation prior to the expiration of an active subscription period;
  • Partial or total non-use of the platform, app, or user seats during a fully paid billing cycle;
  • Inability to access the platform due to Client-side network outages, unsupported hardware devices, or localized carrier cellular failures; or
  • Account suspension or termination resulting from a violation of the O&M360 Terms of Use.
  • Any other temporary platform access limitation, service interruption, or data transmission failure resulting from fortuitous events, acts of God, force majeure (including extreme weather, earthquakes, or natural disasters), government-mandated utility shutoffs, regional telecommunications or power grid blackouts, third-party cloud infrastructure failures, cyberattacks, or any other cause, event, or circumstance not directly attributable to the Company or its authorized system administrators.

3.3 Limited Statutory Exceptions: In compliance with the applicable and governing laws, rules and regulations, exceptions to the default 100% non-refundable rule shall only be evaluated under the following exclusive conditions:

  • Critical Platform Failure: Unannounced, continuous server unavailabilities caused solely by faults in the Company’s backend infrastructure that prevent field reporting for more than five (5) consecutive business days; or
  • Verified Payment Processing Errors: Confirmed duplicate billing transactions or payment processing errors generated by third-party payment gateways.

5. Data Retention & Exportation After Termination

Active Subscription Period: Personal information, operational facility logs, and mobile metadata are retained for the duration of an active trial or paid subscription period under the underlying agreement with your organization.

Post-Expiration Retention & Export Window: Upon the expiration, cancellation, or termination of an account, personal information enters a read-only state to allow the Client to export historical logs, governed by the applicable subscription tier:

  • 7-Day Free Trial Accounts: Personal information and site logs are retained for three (3) calendar days following the expiration of the trial period.
  • Plus and Professional Tier Subscriptions: Personal information and facility logs are retained for fifteen (15) to thirty (30) calendar days following the effective date of contract expiration or cancellation.

Permanent Deletion & Purging: Following the expiration of the applicable post-expiration window (3 days for Free Trial; 15 days for Plus; 30 days for Professional), all personal records, user credentials, and mobile device logs are permanently anonymized or securely purged from active server databases using industry-standard digital sanitization protocols.

6. Formal Refund Evaluation Process

  1. Written Notification: Submit a formal request to support@om360app.com with the subject “Refund Request – [Company Name] – O&M360 Account”.
  2. Evidence Submission: Attach system logs, error screenshots, time logs, and payment receipts demonstrating the qualified statutory fault or billing discrepancy.
